01. Acceptance of Terms

By accessing our website (scriptmatrix.in) or retaining ScriptMatrix Private Limited for enterprise software engineering, IT consulting, custom software development, mobile application engineering, or cloud platform deployment, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please discontinue use of our website and services.

02. Scope of Services & Engagements

ScriptMatrix provides high-performance software engineering solutions, including but not limited to:

• Custom SaaS, CRM, & ERP platforms
• Native iOS & Android mobile applications
• AI Copilots & LLM automation workflows
• WhatsApp Business API & automated chatbots

Specific project scopes, timelines, deliverables, milestones, and payment terms will be governed by executed Master Services Agreements (MSAs) and Statements of Work (SOWs) entered into between ScriptMatrix Private Limited and the client.

03. Intellectual Property Rights & Code Ownership

Unless otherwise agreed in a signed SOW:

• Client Ownership: Upon full and final settlement of all outstanding project invoices, the client shall own the custom application source code developed specifically for their project deliverables.
• ScriptMatrix Core IP: ScriptMatrix retains full ownership over all pre-existing proprietary libraries, frameworks, SDKs, reusable architecture components, design patterns, and platform modules (including our core SolarMatrix software engine) utilized during development.

04. Payment Terms & Invoicing

Invoices are issued according to milestone schedules defined in the SOW. Payments are due upon receipt or within the specific credit window stipulated in your agreement. ScriptMatrix reserves the right to suspend development workflows, API access, or deployment staging servers if payments become overdue beyond agreed terms. All fees are exclusive of applicable government taxes (e.g., Goods and Services Tax / GST in India).

05. Confidentiality & Non-Disclosure

Both parties agree to maintain strict confidentiality regarding all proprietary business data, source code, algorithm architecture, API keys, credentials, financial records, and strategic trade secrets shared during the course of any consulting or engineering engagement. Confidential information shall not be disclosed to any unauthorized third party without prior written authorization.

06. Warranties & Limitation of Liability

ScriptMatrix engineers robust, industry-grade software solutions tested against stringent Quality Assurance benchmarks. However, to the maximum extent permitted by law, ScriptMatrix shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits or business interruption arising out of software usage or third-party cloud infrastructure failures (e.g., AWS, Azure, GCP outages or third-party API changes).

07. Governing Law & Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any legal action, dispute, or proceeding arising out of or relating to these terms or engineering contracts shall be subject to the exclusive jurisdiction of the competent courts located in Vadodara, Gujarat, India.

08. Refund & Cancellation Policy

ScriptMatrix Private Limited adheres to a strict No Refund and No Cancellation policy. Due to the custom nature of enterprise software engineering, IT consulting, and infrastructure deployment, resources and engineering man-hours are irrevocably allocated upon project initiation. Once a Statement of Work (SOW) or Master Services Agreement (MSA) is signed, or once development has commenced, all payments made are non-refundable. Active engagements cannot be unilaterally canceled without fulfilling the financial obligations outlined in the governing agreement.
